Introduction

Below you will find our Terms and Conditions. These always apply when you use or place an order through our Website and contain important information for you as a buyer. Therefore, please read the Terms and Conditions carefully. We further recommend that you save or print these terms and conditions so that you can read them again at a later time.


Definitions

1 Solutix: established in Nieuwerkerk aan den IJssel and registered with the Chamber of Commerce under registration number 17166852 trading under the name Carkeyglobal.com.

2 Website: the website of Carkeyglobal.com, accessible via http://www.carkeyglobal.com, http://www.carkeyglobal.com and all associated subdomains.

3 Customer: the natural or legal person, whether or not acting in the course of a profession or business, who enters into an Agreement with Carkeyglobal.com and/or has registered on the Website.

4 Agreement: any arrangement or agreement between Carkeyglobal.com and Customer, of which agreement the General Terms and Conditions form an integral part.

5 General Terms and Conditions: the present General Terms and Conditions.


Applicability of General Terms and Conditions

1 The General Terms and Conditions apply to all offers, agreements and deliveries of, unless expressly agreed otherwise in writing.

2 If the Customer, in his order, confirmation or communication containing acceptance, includes provisions or conditions that deviate from, or do not appear in the General Terms and Conditions, these are only binding for Carkeyglobal.com if and insofar as they have been expressly accepted in writing by Carkeyglobal.com.

3 In the event that specific product or service terms and conditions apply in addition to these General Terms and Conditions, those terms and conditions also apply, but in the event of conflicting terms and conditions, Customer may always rely on the applicable provision that is most favorable to it.


Prices and information

1 All prices stated on the Website and in other materials originating from Carkeyglobal.com include VAT and, unless otherwise stated on the Website, other government levies.

2 No separate shipping costs will be charged.

3 The content of the Website has been compiled with the greatest care. Carkeyglobal.com cannot guarantee, however, that all information on the Website is at all times correct and complete. All prices and other information on the Website and in other materials originating from Carkeyglobal.com are therefore subject to apparent programming and typing errors.

4 Carkeyglobal.com cannot be held responsible for (color) deviations due to screen quality.

5 We supply Aftermarket products unless otherwise indicated. The Brand Names are only used to indicate the applicability of the products and should otherwise not be associated with Carkeyglobal.com.


Conclusion of Agreement

1 The Agreement is established at the moment of acceptance by the Customer of the offer of Carkeyglobal.com and the satisfaction of the conditions set by Carkeyglobal.com.

2 If Customer has accepted the offer electronically, Carkeyglobal.com immediately confirms electronically the receipt of the acceptance of the offer. As long as the receipt of this acceptance has not been confirmed, the Customer has the option to dissolve the Agreement.

3 If it appears that incorrect data were provided by Customer when accepting or otherwise entering into the Agreement, Carkeyglobal.com is entitled to fulfill its obligation only after the correct data have been received.

4 Carkeyglobal.com can investigate within legal frameworks whether Customer can meet its payment obligations, but also of all facts and factors that are important for a responsible conclusion of the Agreement. If, on the basis of this investigation, Carkeyglobal.com has good grounds not to enter into the Agreement, it is entitled to refuse an order or application or to attach special conditions, such as prepayment, to the implementation, while giving reasons.


Registration

1 In order to make optimal use of the Website, Customer can register via the registration form/ account sign-up option on the Website.

2 During the registration procedure, Customer chooses a username and password with which he can log on to the Website after registration. Customer is responsible for choosing a sufficiently reliable password.

3 Customer must keep his login details his username and password strictly confidential. Carkeyglobal.com is not liable for misuse of the login details and may always assume that a Customer who registers on the Website is actually that Customer. Everything that happens via the Customer's account is the responsibility and risk of the Customer.

4 If Customer knows or suspects that his login details have come into the hands of unauthorized persons, he must change his password as soon as possible and/or notify Carkeyglobal.com, so that Carkeyglobal.com can take appropriate measures.


Execution of Agreement

1 As soon as the order has been received by Carkeyglobal.com, Carkeyglobal.com will send the products with due observance of the provisions in paragraph 3 of this Article as soon as possible.

2 Carkeyglobal.com is entitled to engage third parties in the performance of the obligations under the Agreement.

3 The delivery period is in principle Within 24 hours shipped during working days. The method of delivery can take place in different ways and is at the discretion of Carkeyglobal.com

4 If Carkeyglobal.com is unable to deliver the products within the agreed period, it shall notify Customer. In that case, Customer can agree to a new delivery date or he is given the option to dissolve the Agreement free of charge.

5 Carkeyglobal.com advises Customer to inspect the delivered products and to report any defects found within a reasonable time, preferably in writing or by e-mail. See further the Article on guarantee and conformity.

6 As soon as the products to be delivered have been delivered to the specified delivery address, the risk, where these products are concerned, is transferred to Customer. If expressly agreed otherwise, the risk shall pass to the Customer at an earlier stage. If Customer decides to collect the products, the risk is transferred upon transfer of the products.

7 Carkeyglobal.com is entitled to deliver a product of similar quality to the product ordered, if the product ordered is no longer available. Customer is then entitled to dissolve the agreement free of charge and return the product free of charge.


Right of withdrawal/return

1 Customer has the right to terminate the remotely concluded Agreement with Carkeyglobal.com within 14 calendar days after receipt of the product, without giving reasons, free of charge. The period commences on the day after the Customer, or a third party previously designated by him, who is not the carrier, has received the product, or:

if Customer ordered several products in the same order: the day on which Customer, or a third party designated by him, received the last product;

if the delivery of a product consists of several shipments or parts: the day on which Customer, or a third party designated by him, has received the last shipment or part;

in case of agreements for regular delivery of products during a certain period: the day on which Customer, or a third party designated by him, has received the first product.

2 Only the direct costs for the return shipment shall be borne by Customer. Customer must therefore bear the return costs himself. If these costs exceed the regular postal rate, Carkeyglobal.com will provide an estimate of these costs.

Any costs paid by Customer for shipping and payment of the product to Customer will be refunded to Customer upon return of the entire order.

3 Within the withdrawal period referred to in paragraph 1, Customer will handle the product and its packaging with care. Customer shall only open the packaging and use the product to the extent necessary to inspect the nature, characteristics and operation of products. The starting point here is that this inspection may not go any further than Customer would be able to do in a physical store.

4 Customer is only liable for depreciation of the product resulting from a way of handling the product that goes beyond that permitted in the previous paragraph.

5 Customer can dissolve the Agreement in accordance with paragraph 1 of the term set forth in this Article by sending the model form for withdrawal (digitally) to Carkeyglobal.com, or otherwise unambiguously informing Carkeyglobal.com that he renounces the purchase. Carkeyglobal.com confirms in the case of a digital notification the receipt of that notification. After dissolution, Customer still has 14 days to return the product. It is also possible to return the product directly within the cooling-off period stipulated in paragraph 1 of this Article, provided that the model withdrawal form or other unambiguous declaration of withdrawal is enclosed.

6 Amounts already paid by Customer (in advance) will be refunded to Customer as soon as possible, but at the latest within 14 days after dissolution of the Agreement, in the same way as Customer paid for the order. If Customer has opted for a more expensive method of delivery than the cheapest standard delivery, Carkeyglobal.com does not have to refund the additional costs for the more expensive method Unless Carkeyglobal.com offers to pick up the product itself, Carkeyglobal.com may wait with repayment until Carkeyglobal.com has received the product or until Customer proves that he has returned the product, whichever is earlier.

7 Information on whether or not the right of withdrawal is applicable and any desired procedure is clearly stated on the Website in good time before the conclusion of the Agreement.


Payment

1 Customer must make payments to Carkeyglobal.com according to the payment methods indicated in the order procedure and possibly on the Website. Carkeyglobal.com is free in its choice of offering payment methods and these may also change from time to time. In case of payment after delivery, Customer has a payment term of 14 days starting the day after delivery.

2 If the Customer does not meet his payment obligation(s) on time, he shall, after he has been notified by Carkeyglobal.com of the late payment and Carkeyglobal.com has granted the Customer a period of 14 days to still meet his payment obligations, after the failure to pay within this 14-day period, owe the statutory interest on the amount still due and Carkeyglobal.com is entitled to charge the extrajudicial collection costs incurred by him. These collection costs amount to a maximum of: 15% over outstanding amounts up to € 2,500,=; 10% over the next € 2,500,= and 5% over the next € 5,000,= with a minimum of € 40,=. Carkeyglobal.com may deviate from said amounts and percentages for the benefit of the Customer.


Guarantee and conformity

1 This article only applies if the Customer is not acting in the exercise of his profession or business. If a separate warranty is given on the products by Carkeyglobal.com, without prejudice to what has just been stated, this applies to all types of Customers.

2 Carkeyglobal.com guarantees that the products comply with the Agreement, the specifications stated in the offer, the reasonable requirements of soundness and/or usability and the existing legal provisions and/or government regulations on the date of the conclusion of the agreement. If specifically agreed, Carkeyglobal.com also guarantees that the product is suitable for other than normal use.

3 A guarantee provided by Carkeyglobal.com, manufacturer or importer does not affect the legal rights and claims that the Customer already has and can invoke under the Agreement.

4 If the delivered product does not comply with the Agreement, the Customer must notify Carkeyglobal.com within a reasonable period after he has discovered the defect.

5 If Carkeyglobal.com considers the complaint justified, the relevant products will be repaired, replaced or reimbursed after consultation with Customer. The maximum compensation, subject to the Article on liability, is equal to the price paid by Customer for the product.


Complaints procedure

1 If Customer has a complaint about a product (in accordance with Article on guarantee and conformity) and/or about other aspects of the service provided by Carkeyglobal.com, he can lodge a complaint by telephone, e-mail or post at Carkeyglobal.com. See the contact details at the bottom of the General Terms and Conditions.

2 Carkeyglobal.com will provide Customer with a response to his complaint as soon as possible, but in any event within 3 days of receipt of the complaint. If it is not yet possible to provide a substantive or definitive response, Carkeyglobal.com will confirm within 3 days of the receipt of the complaint and give an indication of the period within which it expects to provide a substantive or definitive response to Customer's complaint.


Liability

1 This Article only applies if Customer is a natural person or legal entity acting in the exercise of his profession or business.

2 The total liability of Carkeyglobal.com towards Customer for attributable failure in the performance of the Agreement is limited to compensation of a maximum of the amount of the price stipulated for that Agreement (including VAT).

3 Liability of Carkeyglobal.com towards Customer for indirect damage, in any case -but explicitly not exclusively- including consequential damage, loss of profit, missed savings, loss of data and damage due to business stagnation is excluded.

4 Outside of the cases mentioned in the previous two paragraphs of this Article, Carkeyglobal.com shall have no liability to Customer for damages, regardless of the ground on which an action for damages would be based. However, the limitations mentioned in this Article lapse if and insofar as damage is the result of intent or gross negligence on the part of Carkeyglobal.com.

5 The liability of Carkeyglobal.com towards Customer on account of attributable failure in the performance of an agreement only arises if Customer gives Carkeyglobal.com immediately and properly notice of default in writing, stating a reasonable term in which to remedy the failure, and Carkeyglobal.com continues to fail in the performance of its obligations even after that term. The notice of default must contain as detailed a description as possible of the failure, so that Carkeyglobal.com is able to respond adequately.

6 Condition for the creation of any right to compensation is always that the Customer reports the damage in writing to Carkeyglobal.com as soon as possible, but at the latest within 30 days, after its occurrence.

7 In the event of force majeure, Carkeyglobal.com is not obliged to compensate any damage incurred by Customer as a result.


Retention of title

1 As long as Customer has not made full payment for the entire agreed amount, all delivered goods remain the property of Carkeyglobal.com.


Personal data

1 Carkeyglobal.com processes Customer's personal data in accordance with the privacy statement published on the Website.


Final provisions

1 The Agreement is governed by Dutch law.

2 Insofar as rules of mandatory law do not prescribe otherwise, all disputes that may arise in connection with the Agreement will be submitted to the competent Dutch court in the district where Carkeyglobal.com is located.

3 If any provision of these General Terms and Conditions turns out to be invalid, this shall not affect the validity of the General Terms and Conditions as a whole. The parties will in that case adopt (a) new provision(s) to replace it, which will, as far as is legally possible, embody the intention of the original provision.

4 In these General Conditions, "in writing" also includes communication by e-mail and fax, provided that the identity of the sender and the integrity of the e-mail is sufficiently established.
